Welcome to Unfold It. These Terms of Service ("Terms") govern your access to and use of Unfold It's Next-Step Engine service, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Unfold It ("we," "us," or "our").

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Eligibility

You must be at least 13 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that:

• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws and regulations
• You have not been previously suspended or removed from the Service

Unfold It is a Next-Step Engine that uses artificial intelligence to help you break down complex tasks and projects into clear, actionable steps. The Service includes:

• Progress tracking and analytics
• Collaboration features (where available)
• Additional features as we develop and release them

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. Subscription Plans and Pricing

5.1 Free and Paid Plans

We offer both free and paid subscription plans. Features, usage limits, and pricing are described on our pricing page and are subject to change. We will provide advance notice of material pricing changes.

5.2 Billing and Payment

For paid subscriptions:

• You will be billed in advance on a recurring basis (monthly or annually, depending on your plan)
• Payments are processed by third-party payment processors
• You authorize us to charge your payment method for all fees incurred
• You are responsible for all applicable taxes
• All fees are non-refundable except as required by law or as explicitly stated in these Terms

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

5.4 Refund Policy

We offer a 14-day money-back guarantee for new subscribers. If you are not satisfied with the Service within 14 days of your initial purchase, you may request a full refund. After 14 days, all fees are non-refundable. Refunds for annual subscriptions will be prorated if cancelled within the guarantee period.

5.5 Plan Changes and Downgrades

You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle. Downgrading may result in loss of features, capacity, or content.

6. User Content and Data

6.1 Your Content

You retain all ownership rights to the content you submit, upload, or create through the Service ("User Content"). This includes tasks, projects, notes, and any other information you provide.

6.2 License to Us

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to:

• Provide and improve the Service
• Generate AI-powered recommendations and next steps
• Ensure the security and functionality of the Service
• Comply with legal obligations

We will not use your User Content for any other purpose without your consent, except as described in our Privacy Policy.

6.3 Content Standards

You agree not to submit User Content that:

• Violates any law or regulation
• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is defamatory, obscene, harassing, or threatening
• Promotes illegal activities or violence
• Contains personal information of others without their consent

6.4 Data Backup

While we implement regular backups, you are responsible for maintaining your own backup copies of your User Content. We are not liable for any loss or corruption of User Content.

7. AI-Generated Content and Recommendations

The Service uses artificial intelligence to generate task breakdowns, recommendations, and next steps. You acknowledge and agree that:

• AI-generated content is provided for informational purposes only
• AI recommendations may not always be accurate, complete, or suitable for your specific needs
• You are responsible for reviewing and validating all AI-generated content before relying on it
• We do not guarantee the accuracy, reliability, or completeness of AI-generated content
• AI-generated content should not be considered professional advice (legal, financial, medical, etc.)

8. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers, etc.) to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or modify any copyright, trademark, or proprietary notices
• Use the Service to transmit spam, malware, or harmful content
• Impersonate others or misrepresent your affiliation with any person or entity
• Collect or harvest personal information of other users
• Use the Service in a way that could damage our reputation or business
• Resell, sublicense, or commercially exploit the Service without authorization

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNFOLD IT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Loss of goodwill or reputation
• Service interruptions or delays
• Data loss or corruption
• Errors in AI-generated content or recommendations

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Unfold It and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Any dispute between you and another user

15. Term and Termination

15.1 Term

These Terms remain in effect while you use the Service.

15.2 Termination by You

You may terminate your account and stop using the Service at any time. Termination does not relieve you of any obligations to pay outstanding fees.

15.3 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Requests by law enforcement or government agencies
• Extended periods of inactivity
• Technical or security concerns

15.4 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete your account and User Content after a reasonable period
• Sections of these Terms that by their nature should survive will remain in effect

16. Dispute Resolution

16.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@unfoldit.ai and attempt to resolve the issue informally. We will attempt to resolve the dispute through good-faith negotiations.

16.2 Arbitration

If we cannot resolve a dispute informally, any dispute arising from these Terms or the Service will be resolved through binding arbitration, except where prohibited by law. You and Unfold It agree to waive the right to a trial by jury or to participate in a class action.

16.3 Exceptions

Either party may seek injunctive relief or other equitable relief in court to protect intellectual property rights or confidential information.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in India, and you consent to personal jurisdiction in such courts.

18. Export Controls

The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations and warrant that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Unfold It regarding the Service and supersede all prior agreements and understandings.

21. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Unfold It.

22. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

23. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.
